By accessing or using the Service, youagree to be bound by these Terms. If you do not agree, do not use the Service.

1. Use of the Service

a. Eligibility

You must be at least 18 years old andlegally able to enter into contracts.

b. Account Registration

You may be required to create anaccount. You are responsible for safeguarding your login credentials and all activitiesoccurring under your account.

2. Description of Services

ConveyorSoftware.ai provides anAI-powered platform designed to automate and optimize product intake andwarehouse receiving workflows, including

• Capturing product images and data     from conveyor or intake systems
• Matching received items against     purchase orders (POs)
• Performing AI-based quality and     damage detection
• Generating structured receiving     and inventory data (e.g., GRNs)
• Exporting or integrating data     with third-party systems.
• Storing and managing product     intake history and audit records

The Service may also include optionalintegrations or future features related to product listing or eCommerceworkflows.

You are responsible for validating alloutput generated by the Service before relying on it for operational orbusiness decisions.

3. User Responsibilities

You agree that you will:

• Provide accurate and lawful data     and content
• Ensure products processed through     the Service are lawful and authorized
• Comply with applicable warehouse,     trade, and regulatory requirements
• Ensure AI-generated results are     reviewed and verified
• Not use the Service for     counterfeit, illegal, or restricted goods
• Not reverse engineer, resell, or     misuse the platform

4. Third-Party Integrations

The Service may integrate withthird-party systems

You are responsible for:

• Maintaining credentials and     permissions for third-party systems
• Complying with third-party terms     of service
• Monitoring all data pushed to or     from those platforms

We are not responsible for actionstaken by third-party platforms, including data rejection, serviceinterruptions, or account restrictions.

5. Intellectual Property

All rights in the platform, AI models,workflows, and software belong to Conveyor Software or its licensors.

You retain ownership of your uploadedcontent and data but grant us a non-exclusive, worldwide, royalty-free licenseto process and store such data solely for the purpose of operating andimproving the Service.

6. Payments and Subscriptions

Certain features require a paidsubscription.

By subscribing:

• You agree to pay applicable fees
• Fees are billed in advance and     are non-refundable unless stated otherwise
• You may cancel at any time, and     access continues until the end of the billing cycle

7. Termination

We may suspend or terminate youraccess if:

• You violate these Terms
• Your usage creates legal,     security, or operational risk
• Required by law or valid     complaint

You may terminate your account at anytime.

8. Disclaimers

The Service is provided “as is” and“as available.”

We do not guarante

• That AI results will be     error-free
• That damage detection or PO     matching will be perfectly accurate
• That the Service will be     uninterrupted
• That any third-party system will     accept the generated data

You are responsible for reviewing andvalidating all output before operational use.

9. Limitation of Liability

To the fullest extent permitted bylaw, Conveyor Software is not liable for:

• Indirect, incidental, or     consequential damages
• Business losses due to receiving     errors or system decisions
• Third-party system actions
• Any damages exceeding the amount     you paid us in the last three (3) months

10. Indemnification

You agree to indemnify and holdharmless Conveyor Software from claims arising from:

• Your use of the Service
• Your products or data
• Regulatory or IP violations
• Misuse of the Service

11. Modifications

We may update these Terms at any timeby posting a revised version. Continued use of the Service constitutesacceptance of the updated Terms.

12. Governing Law

These Terms are governed by the lawsof the State of Delaware, without regard to conflict of law rules.
